1. Who you are contracting with

Coinpath is operated by StartScale CxO LLC ("we", "us", "our"). By creating an account or otherwise using Coinpath (the "Service"), you ("you") agree to these Terms & Conditions ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you are using the Service as an individual, you represent that you are of legal age in your jurisdiction.

2. What the Service is

Coinpath is a personal-finance application that helps individuals and households track accounts, budget, set savings goals, and view spending analytics. It is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.

3. Your account

You must provide accurate information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@coinpathapp.com of any unauthorized access.

4. Acceptable use

You will not, and will not allow others to:

• use the Service for any unlawful purpose, fraud, spam, or harassment;
• infringe any intellectual property or privacy right;
• interfere with the security or integrity of the Service, including by introducing malware, probing, scanning, scraping, or attempting to circumvent any technical limit or access control;
• reverse-engineer, decompile, or attempt to derive the source code of any part of the Service, except where this restriction is prohibited by law;
• resell, sublicense, or redistribute the Service.

5. Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal or internal household use within the plan you have selected.

6. Intellectual property

We and our licensors retain all right, title, and interest in and to the Service, including all software, documentation, designs, trademarks, and branding. No rights are granted to you other than as expressly set out in these Terms.

7. Your content

You retain ownership of the financial data and other content you submit to the Service. You grant us a limited, worldwide, royalty-free licence to host, process, and display that content solely as needed to operate and improve the Service for you.

8. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

Subscription plans renew automatically at the end of each billing period unless cancelled in advance. You can cancel at any time from your account settings or via paddle.net; access continues until the end of the paid period.

9. Suspension and termination

We may suspend or terminate your access at any time for: material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious violations of our policies. You may terminate by closing your account at any time. On termination, you may export your data within 30 days, after which we may delete it.

10. Disclaimers — no financial advice

Coinpath surfaces information about your own finances for general and educational purposes only. It is not financial, investment, legal, accounting, or tax advice and is not a recommendation to buy, sell, or hold any asset. Investment-related views (including FICO and investment tracking views) are informational only. You are solely responsible for your financial decisions and should consult a qualified professional where appropriate.

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD $100. Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, gross negligence, death, or personal injury where such limitation is prohibited by law.

12. Indemnity

You will indemnify and hold harmless StartScale CxO LLC and its affiliates from any third-party claims arising from your content, your use of the Service in violation of these Terms, or your violation of applicable law.

13. Changes

We may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use of the Service after the changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction, subject to any mandatory consumer rights you may have in your country of residence.

15. Assignment, force majeure, severability

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond reasonable control. If any provision is held unenforceable, the remainder will continue in full force and effect.
